Registering a Company in Sri Lanka in 2026
The Department of the Registrar of Companies (ROC) has streamlined the incorporation process for 2026. This guide walks you through the mandatory steps to register your Private Limited Company in Sri Lanka.
Step 1: Name Approval
Before you can file any forms, you must check if your desired business name is available. You can use the ROC e-services portal or our Amsome Name Checker.
Step 2: Form 1 (Incorporation)
Form 1 is the primary document detailing your company structure. You must state:
- The Company Name
- The Registered Office Address
- The Type of Company (e.g., Private Limited)
Tip: You can generate a legally compliant Form 1 instantly using Amsome Form 1 Generator.
Step 3: Director Consent (Form 18)
Every director must sign Form 18 to certify their consent. The new 2026 rules require this to be typed – handwritten forms are frequently rejected due to legibility issues. Download Form 18 Template
Step 4: Articles of Association
You must adopt a set of Articles. Most startups adopt the Model Articles provided in the Companies Act No. 7 of 2007.
Step 5: Public Notice
Within 30 days of incorporation, you must publish a notice in the Government Gazette and at least one daily newspaper in English, Sinhala, and Tamil.
